01 /Agreement to Terms

By accessing adlogicx.com, using the Adlogicx platform, or deploying Adlogicx on your website, you agree to these Terms of Service. If you do not agree, do not use our service.

These Terms apply to:

• Business clients (real estate agents, brokerages, syndicates) who deploy Adlogicx on their websites
• Visitors and buyers who interact with an Adlogicx-powered contact form

02 /What Adlogicx Provides

Adlogicx provides a B2B SaaS platform that:

• Deploys an AI voice agent on a client's existing real estate website
• Qualifies inbound property buyers through a live voice conversation
• Schedules meetings between buyers and property experts
• Logs all leads and call records to the client's CRM (Google Sheets)
• Sends automated reminders via WhatsApp and email

Adlogicx is an inbound qualification tool only. We do not generate leads, make outbound calls, provide real estate advice, or act as a real estate agent in any capacity.

03 /Pilot Terms

14-Day Free Pilot

• Adlogicx platform fee: ₹0 during the pilot period
• Setup fee: ₹0
• AI talktime cost: Paid directly by the client to Vapi.ai at ₹10–12 per minute (as-you-go basis). Adlogicx does not collect or handle this payment.
• The pilot begins on the date the widget goes live on the client's website
• Either party may end the pilot at any time by notifying the other via email or WhatsApp

After the Pilot

• Clients who wish to continue are billed at the applicable monthly platform fee for their selected plan
• No setup fee is charged upon conversion
• No minimum contract term — cancel anytime with 7 days' notice

04 /Client Responsibilities

As a business client deploying Adlogicx on your website, you agree to:

• Provide accurate information during onboarding (calendar access, qualifying questions, brand preferences)
• Maintain an active Google Calendar or Calendly account connected to the system
• Display a Privacy Policy on your website that informs your buyers their data will be processed by Adlogicx
• Not use Adlogicx for any purpose other than qualifying genuine real estate inbound leads
• Not attempt to reverse engineer, copy, or resell the Adlogicx platform
• Ensure your property listings and business practices comply with applicable Indian laws including RERA

05 /AI Agent Conduct and Limitations

The Adlogicx AI voice agent is designed to:

• Collect basic buyer details
• Ask qualifying questions about property interest and timeline
• Check calendar availability and book a meeting slot
• Send confirmation and reminder messages

The AI agent is strictly prohibited from:

• Discussing property prices, valuations, or negotiations
• Providing legal or financial advice
• Making representations on behalf of your brokerage
• Handling complaints or disputes

If the AI receives a question outside its scope, it is programmed to respond: "I'll have your property expert address that directly at your meeting" and exit gracefully.

Adlogicx is not responsible for any buyer decisions made based on an AI conversation. All property advice, pricing, and deal decisions remain the sole responsibility of the real estate professional.

06 /Data Ownership

• Buyer lead data belongs to the client. Adlogicx processes it on your behalf and does not claim ownership over any lead data generated through your deployment.
• Call transcripts are retained for 90 days and then deleted from Adlogicx systems. A copy is delivered to your Google Sheet in real time.
• You are responsible for handling buyer data in compliance with applicable laws, including the DPDP Act 2023, after it is delivered to your CRM.

07 /Payments and Billing

• AI talktime: Billed directly by Vapi.ai to the client. Adlogicx has no involvement in this transaction.
• Platform fee: Billed monthly by Adlogicx from Day 15 onwards (after pilot). Payment terms will be confirmed in writing at conversion.
• Refunds: Platform fees are non-refundable once a billing cycle has started. If you experience a technical failure caused by Adlogicx, we will credit the affected period.
• Late payment: If a monthly fee remains unpaid for more than 14 days, Adlogicx reserves the right to suspend the service until payment is received.

08 /Limitation of Liability

To the maximum extent permitted under Indian law:

• Adlogicx's total liability for any claim arising from this service shall not exceed the total platform fees paid by you in the 3 months preceding the claim
• Adlogicx is not liable for lost deals, missed leads, buyer decisions, or revenue loss of any kind
• Adlogicx is not liable for downtime or service interruptions caused by third-party providers (Vapi.ai, Google, Railway, Make.com)
• Adlogicx is not liable for any damage caused by a buyer misusing or spamming the contact form

09 /Uptime and Service Availability

Adlogicx aims for maximum service availability but does not guarantee 100% uptime. Planned maintenance will be communicated in advance. In the event of unplanned downtime:

• Adlogicx will work to restore service within 4 business hours
• Clients will be notified via WhatsApp as soon as a disruption is identified
• The Syndicate plan includes a 99.99% uptime SLA with specific remedies defined in the Syndicate agreement

10 /Termination

By you: Cancel anytime by sending an email to info@adlogicx.com with at least 7 days' notice. Your widget will be deactivated at the end of the notice period.

By Adlogicx: We reserve the right to terminate your account immediately if:

• You use Adlogicx for any unlawful purpose
• You attempt to reverse engineer or copy our platform
• You harass or threaten our team
• Payment remains outstanding for more than 30 days

Upon termination, your lead data in Google Sheets remains yours. Adlogicx will delete all copies of your data from our systems within 30 days of termination.

11 /Intellectual Property

All technology, software, design, branding, and content on adlogicx.com and within the Adlogicx platform is owned by Adlogicx. Nothing in these Terms grants you any intellectual property rights in our platform.

You retain ownership of all content you provide to us (brand name, qualifying questions, calendar data). You grant Adlogicx a limited licence to use this content solely to deliver the service.

12 /Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.

We will always attempt to resolve disputes informally first. Before initiating any legal action, you agree to notify us at info@adlogicx.com and give us 30 days to resolve the issue.

13 /Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes via email or WhatsApp at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance.
